These terms are an agreement between you and Klinworks, LLC, a limited liability company formed in the State of Delaware (United States) on July 20, 2026, with file number 10704723 and registered office at 131 Continental Drive, Suite 305, Newark, Delaware 19713 ("Klinworks," "we," "us"). Klinworks operates the AgentCEO service (the "Service").
By creating an account or using the Service, you accept these terms. If you do not agree, do not use it. If you accept on behalf of a company, you represent that you have authority to bind it, and "you" refers to that company.
1. What the Service Is
AgentCEO is a platform where you create an organization and operate a team of artificial intelligence agents that perform real work for your business: creating content, managing inventory, serving customers, analyzing sales, connecting to third-party systems and producing deliverables.
What this means in practice, and what you should understand before going further: the agents are not a chat that suggests what to do. They make decisions and take actions with real effects on your systems, your data and, when you authorize it, your company's money. Section 5 explains what that entails and what controls you have.
2. Your Account
2.1 Eligibility. You must be at least 18 years old and have the legal capacity to enter into contracts. The Service is not directed to minors.
2.2 Accuracy. Your registration information must be accurate and kept up to date.
2.3 Credential security. You are responsible for your password and for all activity that occurs under your account. We offer two-factor authentication (2FA) and recommend that you enable it. Notify us immediately at security@klinworks.com if you suspect unauthorized access.
2.4 Organizations and roles. An account may belong to an organization with multiple members. Anyone with the Board of Directors role can bind the company: subscribe to plans, purchase credits, connect integrations and authorize sensitive actions. If you invite someone to your organization, you are responsible for what they do within it.
3. Plans, Credits and Payments
3.1 Credits. Use of the Service is measured in credits. Each plan includes a periodic allocation; you may purchase additional credits. The consumption of each operation is shown to you in credits before and after it runs.
3.2 No automatic overage charges. If you run out of credits, the Service stops until the next replenishment or until you purchase more. We will never automatically charge you for exceeding your plan.
3.3 Prices and changes. We may change prices with at least 30 days' prior notice. Changes do not affect a period that has already been paid.
3.4 Taxes. Prices do not include applicable taxes, which will be added where applicable.
3.5 Refunds. Consumed credits are non-refundable, because they correspond to computing capacity already used with our providers. If you cancel a plan, you keep access until the end of the paid period. The full rules are in Refunds and Cancellation.
3.6 Non-payment. We may suspend the Service if a payment fails, after notifying you and giving you a reasonable period to resolve it.
4. What You May and May Not Do
The details are in the Acceptable Use Policy, which forms part of these terms.
4.1 Permitted use. You may use the Service to operate your legitimate business, in compliance with the law and these terms.
4.2 Prohibited use. You may not, nor allow your agents or users to:
- Violate the law, third-party rights or the intellectual property of others.
- Generate or distribute child sexual abuse material, content that incites violence, harassment, or disinformation intended to cause harm.
- Impersonate others or create deceptive content presented as genuine (fake documents, fabricated reviews, communications that appear to come from a person or organization that did not issue them).
- Send unsolicited commercial communications (spam) or violate applicable anti-spam laws.
- Extract third-party data without a legal basis, or circumvent technical protection measures of other systems.
- Attempt to access other organizations' data, probe for vulnerabilities without authorization, or interfere with the operation of the Service.
- Use the Service to make automated decisions with legal or similarly significant effects on individuals (employment, credit, insurance, healthcare) without effective human oversight and without complying with the regulations applicable to them.
- Resell the Service or use it to train competing models.
4.3 Consequences. We may suspend or close accounts that violate this section. Where reasonable, we will notify you beforehand; in the event of a serious or imminent risk, we may act immediately.
5. Autonomous Agents: What You Must Understand Before Using Them
How we use artificial intelligence, and its limits, is explained in Use of Artificial Intelligence.
This section is the most important part of these terms, because it describes what sets AgentCEO apart from an ordinary tool.
5.1 Agents take actions, not just produce text. When you authorize an agent, it can create and modify your business records, generate and publish content, send communications to your customers, run code, make calls to connected third-party systems and produce deliverables that you will later use with real effects.
5.2 Autonomy levels and approvals. The Service offers controls to set how much an agent can do without you, including actions that require your explicit approval before they run. Configuring those controls is your responsibility. If you authorize an agent to act without approval, you accept the outcome of its actions within that authorization.
5.3 AI makes mistakes. Language models produce results that are incorrect, incomplete or fabricated, even when they sound confident. The Service is provided as is: we do not warrant that any result is accurate, suitable for your situation, or fit for a particular purpose. Review any output before using it for decisions that matter — legal, financial, medical, tax or security decisions. Nothing an agent produces constitutes professional advice.
5.4 Code execution. The Service may run agent-generated code in isolated environments. That code may contain defects. If you deploy it, integrate it into your systems or make it available to third parties, you are responsible for it, just as if one of your employees had written it.
5.5 Automations that move money. If you configure automations that generate charges, issue payments, apply discounts, change prices, commit inventory or alter orders, those operations produce real economic effects and are yours. You must set limits, reviews and controls proportionate to the risk. Klinworks is not a party to transactions between you and your customers or suppliers, and is not liable for their economic outcome.
5.6 Apps and content deployed to third parties. If you publish something created with the Service — a store, an app, a website, content, a communication — to your customers or the public, you act as the party responsible for that publication. It is your responsibility to comply with applicable law, including legal notices, data protection, advertising, consumer protection and intellectual property, and to answer to whoever receives it. You will indemnify us in accordance with Section 11.
5.7 Communications to your customers. If you use the Service to contact people by email, WhatsApp or other channels, you are the sender. You must have a legal basis to do so, honor opt-outs and comply with anti-spam laws. Third-party channels also apply their own rules.
5.8 No guarantee of continuity of a specific model. Model providers change versions, prices and availability. We may replace the model behind a feature, endeavoring to maintain equivalent quality.
6. Third-Party Integrations
6.1 Your credentials. When you connect an external system, its credentials are stored encrypted. Section 7 of the Privacy Policy and the Security Policy explain how.
6.2 Scope of permissions. An agent will act on the connected system with the permissions you have granted it. Grant the minimum necessary.
6.3 Relationship with the third party. The third-party service is governed by its own terms. We are not responsible for its availability, changes, or what it does with your data under its own relationship with you.
6.4 Disconnection. You may disconnect an integration at any time from within the Service.
7. Content and Intellectual Property
7.1 Your content is yours. You retain all rights to the data you upload and to the content the Service generates for you.
7.2 License you grant us. You grant us a worldwide, non-exclusive, limited license to host, process, transmit and display your content solely for the purpose of providing the Service to you, including sending it to the subprocessors listed in the Privacy Policy. This license ends when you delete the content or close your account, except for backup copies pending rotation.
7.3 We do not train on your data. We do not use your content to train our own or third-party AI models, and we contractually require our providers not to do so with the data we send them on your behalf.
7.4 AI outputs. To the extent we have any rights in what an agent generates for you, we assign them to you. Please note that in several jurisdictions content generated entirely by AI may not be eligible for copyright protection, and that a similar result could be delivered to another user based on similar instructions.
7.5 Our property. The Service, its software, trademarks and documentation belong to Klinworks. These terms do not transfer to you any rights in them.
7.6 Feedback. If you send us suggestions, we may use them without obligation or compensation.
8. Availability, Support and Changes
8.1 Availability. We strive to keep the Service available, but we do not guarantee any uptime percentage unless we have agreed to one in writing in a specific contract.
8.2 Maintenance. We may interrupt the Service for maintenance, giving reasonable advance notice when it is scheduled.
8.3 Changes to the Service. We may add, modify or remove features. If we remove a material feature you rely on, we will notify you at least 30 days in advance.
8.4 Support. Support is provided through the channels indicated in the Service's Help Center, during business hours and in Spanish.
9. Suspension and Termination
9.1 Termination by you. You may cancel at any time from within the Service. You keep access until the end of the paid period.
9.2 Termination by us. We may suspend or terminate your access if you breach these terms, if your use puts the Service or third parties at risk, or if the law requires us to. Except in urgent cases or where legally prohibited, we will notify you first.
9.3 What happens to your data. After termination, you have 30 days to export your content. After that period, we begin deleting it in accordance with the Privacy Policy.
10. Warranties and Limitation of Liability
10.1 No warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY AS TO THE ACCURACY OR USEFULNESS OF WHAT THE AGENTS PRODUCE.
10.2 Exclusion of indirect damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, GOODWILL OR BUSINESS OPPORTUNITY, EVEN IF WE HAVE BEEN ADVISED OF THEIR POSSIBILITY.
10.3 Liability cap. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS (USD 100).
10.4 What is not excluded. Nothing in these terms limits liability that the law does not allow to be limited, including willful misconduct, gross negligence, fraud, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so the above may not apply to you in full.
10.5 Allocation of risk. You acknowledge that the limits in this section are an essential element of the agreement and that without them the price of the Service would be different.
11. Indemnification
You will indemnify and hold harmless Klinworks, its members, officers and employees from and against claims, damages and reasonable costs (including attorneys' fees) arising from: (a) your use of the Service; (b) the content you upload or publish; (c) the actions taken by your agents and automations; (d) what you deploy to third parties; and (e) your breach of these terms or of the law. We will notify you of the claim, and you may assume its defense with counsel reasonably acceptable to us.
12. Governing Law and Dispute Resolution
12.1 Governing law. These terms are governed by the laws of the State of Delaware (United States), without regard to its conflict-of-laws rules.
12.2 Informal resolution. Before initiating any formal proceeding, you agree to write to us at legal@klinworks.com describing the dispute. Both parties will attempt to resolve it in good faith for 60 days.
12.3 Binding arbitration. If it is not resolved, the dispute will be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat will be Delaware, the language English or Spanish as the parties agree, and the award may be enforced in any court of competent jurisdiction.
12.4 Class action waiver. CLAIMS WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS, COLLECTIVE OR REPRESENTATIVE ACTIONS. If this waiver is found unenforceable, Section 12.3 in its entirety will not apply to that dispute.
12.5 Exceptions. Either party may go to court to seek injunctive relief to protect intellectual property or confidential information, and to bring small-value claims in small claims court.
12.6 Consumer rights. If you are a consumer and reside in a jurisdiction whose mandatory laws grant you rights that cannot be limited by contract — including the European Union, the United Kingdom or Latin America — those laws prevail over this section to the extent they apply to you, including the possibility of bringing an action in the courts of your place of residence.
13. General Provisions
13.1 Entire agreement. These terms, together with the Privacy Policy, the Cookie Policy, the GDPR Notice and the Security Policy, constitute the entire agreement between the parties regarding the Service.
13.2 Amendments. We may update these terms. If the change is material, we will notify you by email or within the Service at least 30 days in advance. Continuing to use the Service after the effective date constitutes acceptance; if you do not agree, you may cancel.
13.3 Assignment. You may not assign this agreement without our consent. We may assign it in connection with a merger, acquisition or sale of assets.
13.4 Severability. If any provision is held invalid, the remainder stays in effect and that provision will be interpreted as closely as possible to its original intent.
13.5 No waiver. Failure to exercise a right does not constitute a waiver of it.
13.6 Force majeure. We are not liable for failures to perform caused by events beyond our reasonable control, including failures of infrastructure providers or AI model providers.
13.7 Language. The Spanish version of these terms is the binding version. Translations are provided for convenience.
