This policy explains which uses of the Agent CEO service (the "Service") are permitted and which are not. It is published by Klinworks, LLC ("Klinworks," "we," "us"), a Delaware (United States) limited liability company, file no. 10704723, with its registered office at 131 Continental Drive, Suite 305, Newark, Delaware 19713.
It applies to every person or organization that uses the Service, to the members they invite to their organization, and to the agents they configure: anything an agent does within your organization counts as done by you. It expands on sections 4 and 5 of the Terms of Service, which form part of it; if anything conflicts, the Terms prevail.
1. The underlying idea
Agent CEO exists so you can run your legitimate business with a team of AI agents. Agents perform real actions: they send messages, publish content, and touch your systems. That is why this policy prohibits not only content but also conduct that an agent can repeat at scale in seconds.
If you are unsure whether a use is permitted, ask us first at legal@klinworks.com.
2. Unwanted communications and spam
When you use the Service to contact people, you are the sender (Terms §5.7). You may not:
- Send unsolicited commercial communications or bulk messages to people who have not consented, by email, SMS, WhatsApp, social media, or any other channel.
- Use WhatsApp in breach of Meta's policies for the WhatsApp Business Platform, including templates, prior recipient consent, and messaging limits.
- Violate applicable anti-spam laws, such as the U.S. CAN-SPAM Act and the Telephone Consumer Protection Act (TCPA) where they apply, or their equivalents in your country.
- Ignore an unsubscribe request, conceal the sender's identity, or use misleading subject lines and headers.
- Use purchased, scraped, or unknown-source lists without a legal basis for contacting those people.
3. Impersonation, deception, and fraud
You may not:
- Impersonate a person, company, brand, or government body, or create communications that appear to come from someone who did not send them.
- Fabricate documents, reviews, testimonials, or evidence and present them as genuine.
- Use the Service for scams, phishing, pyramid schemes, deceptive collection of credentials or payment details, or any other form of fraud.
- Clone a person's voice or likeness without their express permission, or portray them saying or doing something they did not say or do.
- Hide from your customers that they are talking to an AI agent when the law requires you to tell them.
4. Illegal or harmful content
You may not generate, store, or distribute with the Service:
- Material that exploits or sexualizes minors, in any form. We report it to the competent authorities.
- Content that is illegal in the jurisdiction where you operate or where it is distributed.
- Content that incites violence or promotes terrorism or hatred against people based on their origin, religion, gender, orientation, disability, or other protected characteristic.
- Harassment, threats, intimidation, or disclosure of other people's personal data to harm someone.
- Election misinformation: false content about when, where, or how to vote, about candidates or results, or designed to discourage voting.
- Other misinformation intended to cause harm, including health misinformation or content that impersonates news media.
5. Intellectual property
You may not use the Service to infringe copyrights, trademarks, trade secrets, or other third-party rights: for example, copying and publishing others' works without a license or selling products bearing trademarks that do not belong to you. If you believe someone is infringing your rights with content hosted on the Service, follow the procedure in the DMCA Policy.
6. Security of the Service and of third parties
You may not:
- Distribute malware, viruses, ransomware, or any code designed to damage, spy on, or take control of systems.
- Circumvent the Service's limits: credits, agent approval controls, usage limits, or your plan's restrictions, including creating multiple accounts to obtain free credits.
- Circumvent or probe security: attempt to access other organizations' data, test vulnerabilities without authorization, or interfere with the operation of the Service. If you find a flaw, report it as described in the Security Policy.
- Launch denial-of-service attacks or deliberately overload the infrastructure.
- Engage in abusive scraping: extracting data from third-party sites or services without a legal basis, bypassing their terms or technical measures, or at a rate that impairs their operation.
- Use the Service to train competing models or resell it without a written agreement with us.
7. Decisions about people
You may not use agents to make decisions with legal or similarly significant effects on people—hiring or firing, granting or denying credit, insurance, housing, healthcare, or education—without effective human oversight and without complying with the laws that apply to you, including Article 22 of the GDPR (Terms §4.2 and Privacy Policy §9).
An agent may prepare information for such a decision; the decision is made, and answered for, by a person.
8. Your responsibility for agents
- Configure autonomy levels and approvals in proportion to the risk (Terms §5.2).
- Review what agents produce before using it in decisions that matter (Terms §5.3).
- You are responsible for what you publish or send to third parties with the Service (Terms §5.6 and §5.7).
The fact that an action was performed by an agent does not excuse it from this policy.
9. What happens if this policy is breached
Depending on the severity and recurrence, we may:
- Warn you and ask you to correct the use.
- Remove or disable the affected content, agent, or integration.
- Temporarily suspend the account or organization.
- Permanently terminate access (Terms §9.2).
- Report the facts to the authorities when the law requires it or there is a risk to people.
Where reasonable, we will notify you before acting. In the face of a serious or imminent risk—to people, to third parties, or to the Service—we may act immediately (Terms §4.3). If you believe we have made a mistake, write to us at legal@klinworks.com and we will review the decision.
Suspension or termination of access for breaching this policy does not entitle you to a refund of credits already consumed (Terms §3.5).
10. How to report abuse
If you see someone using Agent CEO in violation of this policy, let us know:
- Usage abuse (spam, fraud, impersonation, illegal content, harassment): legal@klinworks.com.
- Security issues (malware, unauthorized access, vulnerabilities): security@klinworks.com.
Include whatever you can: what happened, when, links or screenshots, and how to contact you. Response time for abuse reports: [PENDIENTE: response time].
11. Changes to this policy
We may update this policy to cover new uses or legal changes. The date at the top always indicates the latest version. If the change is material, we will notify you as provided in the Terms (§13.2).
