Klinworks, LLC ("Klinworks," "we," "us"), which operates Agent CEO (agentceo.io and app.agentceo.io), respects the intellectual property of others and asks the same of those who use the Service. This policy explains how we handle copyright infringement claims under the U.S. Digital Millennium Copyright Act ("DMCA").
Klinworks is a Delaware (United States) limited liability company, file no. 10704723, with its registered office at 131 Continental Drive, Suite 305, Newark, Delaware 19713.
It applies to any rights holder, or anyone acting on their behalf, and to any customer whose content is the subject of a notice. The Terms of Service prohibit infringing the intellectual property of others (section 4.2) and explain who owns the content (section 7).
1. Designated agent
The designated agent to receive notices of infringement is:
[PENDIENTE registro dmca.copyright.gov]
While we complete that registration with the U.S. Copyright Office, send notices and counter-notices to legal@klinworks.com or by postal mail to the address in the "Contact" section.
2. How to send us a notice of infringement
If you believe that content hosted or published through Agent CEO infringes your copyright, send us a written notice that includes, under 17 U.S.C. §512(c)(3):
- Your signature, physical or electronic, as the owner or as a person authorized to act on their behalf.
- Identification of the copyrighted work you claim has been infringed (or, if there are several, a representative list).
- Identification of the material you claim is infringing and information reasonably sufficient to locate it (for example, the exact address of the page).
- Your contact information: name, address, phone number, and email address.
- A statement that you have a good faith belief that use of the material is not authorized by the owner, its agent, or the law.
- A statement that the information in the notice is accurate and, under penalty of perjury, that you are the owner or are authorized to act on their behalf.
An incomplete notice may not be valid. If something is missing, we may ask you to complete it before we act.
3. What we do when we receive it
- We check that the notice meets the requirements.
- We expeditiously remove or disable access to the material.
- We notify the customer responsible for the content and send them a copy of the notice, which may include your contact information.
4. Counter-notice: if you believe your content was removed by mistake
If your content was removed and you believe it was due to a mistake or misidentification, you may send us a counter-notice under 17 U.S.C. §512(g) that includes:
- Your signature, physical or electronic.
- Identification of the material removed and the location where it appeared before it was removed.
- A statement, under penalty of perjury, that you have a good faith belief that it was removed as a result of mistake or misidentification.
- Your name, address, and phone number, and a statement that you consent to the jurisdiction of the federal district court for your district (or, if you reside outside the U.S., any judicial district in which Klinworks may be found) and that you will accept service of process from the person who submitted the original notice or their agent.
We will forward the counter-notice to the person who submitted the original notice. If that person does not inform us, within the period set by law, that they have filed a court action to restrain the infringement, we may restore the material.
5. False notices: be careful
Under 17 U.S.C. §512(f), anyone who knowingly materially misrepresents something in a notice or counter-notice may be liable for damages caused, including costs and attorneys' fees. If you are not sure whether a use infringes your rights, consult an attorney first.
6. Repeat infringers
We will, in appropriate circumstances, terminate the accounts of those who repeatedly infringe copyrights. We may also limit access or remove content from any account when we deem it appropriate, in accordance with section 4.3 of the Terms of Service.
7. AI-generated content
Content that agents generate for you is yours to the extent we hold rights in it (section 7.4 of the Terms of Service). But you are the one who publishes it and who is responsible for ensuring it does not infringe the rights of others (section 5.6). If we receive a notice about content you published, this policy applies just as it does to any other content.
8. Other claims
For claims concerning trademarks or rights other than copyright, also write to us at legal@klinworks.com with as much information as possible.
